1. Acceptance of Terms

By accessing or using WeldLog services, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you may not access or use our services.

2. Description of Service

WeldLog provides a cloud-based quality management system designed for fabrication businesses to control their quality processes, ensure compliance, and produce documentation packages. Our services include, but are not limited to, digital fabrication record system, fabrication repair management, WPS & WPQR tracking, document management, and analytics.

3. User Accounts

To use certain features of our services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Subscription and Payments

WeldLog offers subscription-based services with different tiers and pricing options. By subscribing to our services, you agree to pay the applicable fees as described on our pricing page.

Subscription fees are charged on a recurring basis (monthly or annually) unless you cancel your subscription. Cancellations will take effect at the end of the current billing period. We do not provide refunds for partial billing periods.

We reserve the right to change our prices at any time. If we change our prices, we will provide notice of the change on the website or by email at least 30 days before the change takes effect.

5. Your Content

Our services allow you to store, share, and process information related to your fabrication business ("Your Content"). You retain all rights to Your Content.

By using our services, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, store, transmit, and display Your Content as necessary to provide and maintain the services.

You represent and warrant that:

• You have the right to upload and use Your Content with our services
• Your Content does not violate these Terms, applicable law, or the rights of any third party
• Your Content does not contain any viruses, worms, malware, or other harmful or destructive content

6. Intellectual Property Rights

WeldLog and its licensors own all right, title, and interest in and to the services, including all intellectual property rights. Nothing in these Terms gives you a right to use the WeldLog name, trademarks, logos, domain names, or other distinctive brand features except as necessary for the normal use of the services.

Any feedback, comments, or suggestions you may provide regarding our services is entirely voluntary, and we will be free to use such feedback, comments, or suggestions without any obligation to you.

7. Acceptable Use Policy

You agree not to misuse our services or help anyone else do so. You specifically agree not to:

• Use the services for any illegal purpose or in violation of any laws
• Violate or infringe the privacy, copyright, trademark, trade secret, or other intellectual property or proprietary rights of any person or entity
• Attempt to gain unauthorized access to any service, account, computer systems, or networks connected to our services
• Interfere with or disrupt the integrity or performance of our services
• Engage in any abusive or excessive usage of the services that would disrupt the operations of our servers
• Use any robot, spider, or other automated device to access our services
• Access, search, or attempt to access or search our services by any means other than through our currently available interfaces
• Send unsolicited communications, promotions, or advertisements
• Impersonate or misrepresent your affiliation with any person or entity

8. Limitation of Liability

To the maximum extent permitted by law, in no event will WeldLog, its affiliates, officers, employees, agents, suppliers, or licensors be liable for any indirect, special, incidental, punitive, exemplary, or consequential damages of any kind arising out of or in connection with the use of or inability to use the services, including:

• Any loss of use, data, business, or profits
• Any financial losses
• Any other damages or losses arising from your use of the services

Our total liability for any claim arising out of or relating to these Terms or our services is limited to the amount you paid us to use the services during the 12 months before the claim arose.

9. Disclaimer of Warranties

The services are provided "as is" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. The quality and performance of the services are subject to your internet connection and device capabilities.

10. Indemnification

You agree to indemnify, defend, and hold harmless WeldLog, its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from:

• Your violation of these Terms
• Your violation of any rights of any other person or entity
• Your use or misuse of the services

11. Term and Termination

These Terms will remain in effect until terminated by either you or WeldLog.

You may terminate your agreement by providing notice in writing at least 30 days prior to the renewal date of the services and canceling your account. We may terminate or suspend your access to our services at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date at the top of this page.

Your continued use of the services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the services.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or your use of the services shall be brought exclusively in the federal or state courts located in Harris County, Texas, and you consent to the personal jurisdiction of such courts.

14. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and WeldLog regarding the services and supersede all prior agreements and understandings.

Waiver: No failure or delay by WeldLog in exercising any right under these Terms shall constitute a waiver of that right.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

Assignment: You may not assign or transfer these Terms without the prior written consent of WeldLog. WeldLog may assign these Terms without your consent to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
